Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Zamdit platform ("Platform" or "Service") provided by Zamdit Ltd ("Zamdit", "we", "our" or "us"). By accessing or using the Service, you acknowledge and agree to be legally bound by these Terms.
If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms.
1. Definitions
1.1 "Client", "you", "your" refers to the individual or legal entity using the Service.
1.2 "Candidate" means any applicant or individual whose data is stored, processed, or managed through the Platform.
1.3 "User" denotes any person authorized by the Client to access and use the Platform.
1.4 "Subscription" refers to the specific paid service plan selected by the Client.
2. Eligibility and Account Registration
2.1 Access to the Platform is restricted to individuals who are at least 18 years old and legally capable of entering into binding agreements.
2.2 The Client is solely responsible for safeguarding login credentials and for all activities conducted under their account.
3. Free Trial
3.1 New Clients are entitled to a free trial period of 14 days upon registration.
3.2 No payment details are required to commence the trial period.
3.3 The trial provides access to core features and optional test data functionality.
3.4 Accounts without added payment details at the conclusion of the trial will be suspended automatically.
4. Subscriptions and Billing
4.1 Continued access following the trial period requires an active, paid Subscription.
4.2 Subscription tiers vary based on user limits, candidate volumes, and feature sets.
4.3 All fees are payable in advance. Overage fees are charged on a monthly basis.
4.4 By submitting payment information, the Client authorizes Zamdit to charge the applicable fees via the designated method of payment.
4.5 In annual Subscriptions, excess candidate usage will be billed monthly. In case of failed payment collection, Platform access will be retained, but the movement of Candidates beyond the "Applied" stage will be restricted until payment is received.
5. Taxes and VAT
5.1 All prices are exclusive of any applicable taxes or VAT.
5.2 Clients located in the UK or non-VAT registered entities within the EU will be subject to VAT at the prevailing rate.
5.3 EU-based businesses with a valid VAT number may apply the reverse charge mechanism.
5.4 The Client bears full responsibility for the payment of all applicable taxes or duties imposed by the relevant jurisdiction.
6. Account Status
6.1 Trial: Full access granted without charge for 14 days.
6.2 Pending: Payment details submitted; awaiting confirmation of initial payment. An email notification will be sent, and the Client has 23 hours to confirm and activate the Subscription.
6.3 Active: Subscription and payment successfully processed.
6.4 Cancelled: Subscription has ended. Access is limited; data will be retained for up to six (6) months.
7. Modifications to Subscriptions
7.1 Clients may upgrade plans at any time. Fees will be prorated and presented prior to confirmation.
7.2 Downgrades require cancellation of the current plan and selection of a new plan after the current billing period concludes.
7.3 Cancellations become effective at the end of the then-current billing cycle. No refunds are issued for unused portions of the Subscription.
8. Candidate and User Limits
8.1 Subscriptions include predefined limits for Users and Candidates.
8.2 External recruiters are not counted toward user limits.
8.3 Clients may configure the Platform to prevent exceeding Candidate limits.
8.4 Candidates are counted only once they progress beyond the "Applied" stage.
9. Payment and Security
9.1 All payments are processed securely via Stripe.
9.2 Zamdit accepts major credit/debit cards and digital wallets.
9.3 Zamdit does not store or process payment card information directly.
9.4 Invoices are issued at the beginning of each billing cycle and are accessible in the Billing History section of your account.
10. Acceptable Use
10.1 The Platform must be used in compliance with all applicable laws and regulations.
10.2 The Client agrees not to:
- Use the Platform for unlawful, harmful, or fraudulent purposes;
- Transmit malware or malicious code;
- Attempt unauthorized access to systems or networks;
- Interfere with the security, integrity, or performance of the Platform.
11. Data Protection and Privacy
11.1 Zamdit complies with the UK GDPR and applicable data protection laws.
11.2 The Client remains the data controller for Candidate data.
11.3 Zamdit acts as a data processor and handles data solely in accordance with the Client's instructions, as described in the Privacy Policy.
11.4 Data subjects may exercise rights to deletion or portability in accordance with applicable law.
12. Intellectual Property
12.1 All intellectual property related to the Platform is owned by Zamdit Ltd or its licensors.
12.2 Clients may not copy, reproduce, modify, distribute, or reverse-engineer any part of the Platform.
12.3 Feedback or suggestions submitted by Clients become the sole property of Zamdit without any obligation or compensation.
13. Availability and Modifications
13.1 While Zamdit endeavors to provide continuous access to the Platform, availability is not guaranteed.
13.2 Zamdit reserves the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice where feasible.
14. Limitation of Liability
14.1 To the maximum extent permitted by law, Zamdit shall not be liable for:
- Indirect, incidental, special, or consequential damages;
- Loss of profits, data, or business opportunities;
- Interruptions to the Service or issues caused by third-party content or systems.
14.2 Zamdit's total aggregate liability arising from or related to these Terms shall not exceed the total fees paid by the Client in the six (6) months preceding the claim.
15. Termination
15.1 Zamdit may suspend or terminate an account if the Client materially breaches these Terms or engages in unlawful conduct.
15.2 Upon termination, access to the Platform will be revoked, and Zamdit will retain the Client's data for up to six (6) months, unless deletion is expressly requested.
16. Governing Law and Jurisdiction
16.1 These Terms shall be governed by and construed in accordance with the laws of England and Wales.
16.2 Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
17. Changes to the Terms
17.1 Zamdit may revise these Terms from time to time.
17.2 Material changes will be communicated via email or in-app notification at least fourteen (14) days prior to taking effect.
